The role requires strategic judgment and hands-on legal expertise to support decision-making and ensure alignment within multi-layered shareholder and holding structures, often governed by English law.Responsibilities:Develop and implement legal strategies to protect shareholder and company interestsPrepare legal positions, procedural documentation, and evidence for corporate litigationRepresent the company in court proceedings and supervise external counselNavigate complex shareholder networks and ensure consistent governance and controlDraft, review, and amend shareholder agreements, voting and ownership frameworks, including those governed by English lawEstablish internal mechanisms for resolving sensitive corporate situations and ensuring complianceAdvise senior management and shareholders on corporate governance, structure, and legal risksSupport restructuring and transformation of ownership and holding chainsRequirements:8+ years of experience in corporate law, litigation, or special situations within holding groups, investment firms, or financial institutionsProven record in shareholder-related matters and maintaining governance integrity in multi-jurisdictional structuresStrong knowledge of corporate, commercial, and procedural law, including practical experience with English law documentation and principlesExperience managing complex ownership structures and multi-stakeholder decision-makingFluent in English and RussianCore traits: strategic insight, precision, diplomacy, and discretion#J-18808-Ljbffr
