Job Description

<p>As a Corporate Lawyer you will provide legal advice and support on corporate governance, transactions, compliance, and commercial matters. The role involves drafting and negotiating agreements, advising senior management, and ensuring the company operates in accordance with applicable laws and regulations.</p><p><strong>Key Duties and Responsibilities</strong></p><ul><li><strong>Contracts&Commercial Documentation:</strong></li><li>Draft, review, and negotiate commercial contracts, NDAs, MOUs, service agreements, and vendor contracts.</li><li>Review contracts for compliance with UAE legal and regulatory standards.</li><li>Identify legal and commercial risks and advise on mitigation strategies.</li><li>Support business teams with contract interpretation and execution.</li><li>Maintain and manage legal and contract documentation records.</li><li><strong>Corporate Governance&Compliance (UAE):</strong></li><li>Advise on UAE Companies Law, Commercial Transactions Law, and relevant free zone regulations.</li><li>Ensure compliance with mainland, free zone, and offshore regulatory requirements (DED, DMCC, DIFC, ADGM, etc.).</li><li>Draft and review board resolutions, shareholder resolutions, and corporate policies.</li><li>Manage statutory filings, license renewals, and regulatory submissions.</li><li>Monitor changes in UAE laws, regulations, and government circulars.</li><li>Assist in managing litigation, arbitration, and dispute matters in the UAE.</li><li>Liaise with external counsel and follow up on case progress.</li><li>Maintain records of legal disputes and ensure timely reporting.</li><li>Support settlement negotiations and dispute resolution processes.</li><li><strong>Legal Advisory&Stakeholder Management:</strong></li><li>Provide legal advice to management and internal stakeholders on UAE legal matters.</li><li>Act as a point of contact for internal legal queries and clarifications.</li><li>Liaise with government authorities, regulators, and external legal advisors.</li><li>Ensure confidentiality and proper handling of sensitive legal information.</li></ul><p><strong>Skills, Experience&Educational Requirements</strong></p><ul><li>Bachelor’s degree in law (LLB); LLM preferred.</li><li>10+ years of experience in corporate law in the UAE.</li><li>Strong knowledge of UAE Companies Law, Commercial Transactions Law, and free zone regulations (DIFC, ADGM, DMCC, etc.).</li><li>Excellent contract drafting, review, and negotiation skills.</li><li>Ability to interpret and apply UAE laws to business situations.</li><li>Strong analytical, problem-solving, and risk assessment skills.</li><li>Effective communication and stakeholder management abilities.</li><li>Ability to manage multiple matters and meet tight deadlines.</li><li>High attention to detail with a commercial mindset.</li><li>Ability to work independently and collaboratively in a multicultural environment.</li><li>Strong organizational and documentation skills.</li><li>Proficiency in legal research and MS Office tools.</li></ul>#J-18808-Ljbffr
