Senior Legal Counsel

We are seeking an experienced Senior Legal Counsel to provide strategic legal support across corporate structuring, joint ventures, mergers & acquisitions and complex commercial transactions, with a strong focus on the real estate sector.This is a senior-level role advising on high-value investments, partnerships, and corporate structures within a fast-paced and commercially driven environment.Key ResponsibilitiesLead the structuring, drafting, and negotiation of joint venture agreements, shareholder agreements, and strategic partnership frameworksAdvise on and manage real estate joint ventures, development structures, investment vehicles, and asset acquisitions/disposalsLead M&A transactions end-to-end, including term sheets, due diligence, SPAs, and post-completion integrationProvide strategic legal advice on corporate structuring, governance, and board mattersDraft and review corporate documentation including memoranda, articles of association, and shareholder resolutionsNegotiate complex commercial agreements including NDAs, services, licensing, and supply contractsIdentify, assess, and mitigate legal and transactional risks across investments and strategic initiativesEnsure compliance with corporate, commercial, and regulatory frameworksLiaise with regulators, authorities, external counsel, JV partners, and key stakeholdersDevelop legal templates, frameworks, and guidance to support business operationsMandatory RequirementsBachelor’s degree in Law (LLB or equivalent)Admission to practice law in a recognised jurisdiction7–10 years’ post-qualification experience in corporate/commercial lawMandatory experience within the Real Estate OR Retail sectorStrong track record drafting and negotiating shareholder agreements and joint venture structuresProven ability to lead complex M&A and restructuring transactions independentlyStrong commercial acumen with the ability to provide pragmatic, business-focused advicePreferredLLM or postgraduate qualification in Corporate/Commercial LawExperience within an international law firm or established in-house legal teamExposure to UAE/GCC corporate and real estate regulations#J-18808-Ljbffr
