Senior Legal Counsel (Corporate & Commercial)

We are seeking an experienced and business-oriented Senior Legal Counsel (Corporate & Commercial) to provide expert legal support across corporate governance, compliance, investment, and commercial operations. The ideal candidate will have extensive experience in corporate and commercial law, with a proven track record in transactional activities, M&A, and regulatory compliance within financial or investment sectors.Key ResponsibilitiesDraft, review, and negotiate corporate, commercial, M&A, and investment contracts.Lead corporate governance and compliance programs, ensuring alignment with applicable laws, regulations, and best practices.Oversee due diligence, legal documentation, and transactional processes to safeguard the company’s interests.Provide strategic legal advice on corporate structure, commercial operations, and investment activities.Collaborate with executive leadership on policy and procedural development to strengthen compliance frameworks.Develop and standardize contract templates for corporate and commercial use.Manage and mitigate legal risks across all business operations.Support strategic initiatives in coordination with the Chief Legal Officer, ensuring alignment with corporate objectives.Oversee legal budget and resource optimization to ensure efficient departmental operations.Foster strong relationships with internal and external stakeholders, promoting legal integrity and corporate values.RequirementsQualifications & ExperienceEducationBachelor’s Degree in Law (LLB) or Juris Doctor (JD) required.Master’s degree in Business Law, Governance, or Compliance is an advantage.Experience8–10 years of experience in a similar or related field.At least 3 years supporting both commercial and corporate functions within finance, investment, or corporate governance.Experience in an international law firm or reputable organization with a focus on corporate governance, compliance, and investments preferred.Knowledge & ExpertiseCorporate and Commercial LawIntellectual Property LawDue Diligence and Legal DocumentationProcurement, Sales, and M&A ContractsCorporate Governance and Compliance FrameworksStrong understanding of financial instruments and investment strategiesPersonal AttributesStrong commercial acumen with the ability to balance legal precision and business practicality.Excellent communication and negotiation skills.High level of integrity, discretion, and professional judgment.Proven leadership, problem-solving, and organizational capabilities.#J-18808-Ljbffr
