OverviewWe are seeking a skilled and proactive Legal Counsel / Legal Advisor to lead and manage the legal operations of the company. The ideal candidate will ensure compliance with international and local laws manage corporate structuring and investment agreements oversee commercial contracts and handle risk management and dispute resolution across UAE KSA RSA and USA markets.Key ResponsibilitiesLegal ComplianceEnsure adherence to local and international laws concerning transportation labour and safety.Monitor legislative changes and advise management on legal implications.Corporate & Investment Legal SupportSupport company formation governance and structuring including holding entities and subsidiaries.Draft and review shareholder agreements MOUs and investment documents.Assist in mergers acquisitions and joint ventures.Ensure compliance with UAE KSA RSA and USA corporate laws.Contract Management & Commercial LawDraft review and negotiate commercial contracts to protect the company s interests.Oversee contract lifecycle milestones renewals and compliance.Manage IP-related matters including trademarks and licensing agreements.Regulatory & ComplianceDevelop and implement internal policies and regulatory frameworks.Liaise with external regulatory authorities and support audits.Risk Management & Dispute ResolutionIdentify legal risks and suggest preventive strategies.Provide support in dispute resolution litigation and arbitration.Representation & AdvocacyRepresent the company in negotiations, industry forums, legal proceedings and mediation.Advocate effectively for the company s legal interests.Legal AdvisoryAdvise senior management on legal matters affecting business operations.Interpret laws to ensure company decisions are legally sound.External Counsel ManagementLiaise with external lawyers and advisors.Monitor performance and manage legal service costs.Policy DevelopmentDevelop update and implement internal policies in alignment with legal standards.Ensure ongoing compliance through regular policy reviews.Documentation & Record KeepingMaintain accurate and accessible legal records contracts and compliance files.Ensure documentation is audit-ready and securely stored.QHSE ComplianceFollow all QHSEIMS procedures to uphold legal health safety and environmental standards.Ensure legal activities align with company environmental protection policies.RequirementsBachelor’s or Master’s degree in Law (LLB or LLM)Minimum 5–7 years of legal experience in corporate/commercial law (multijurisdictional preferred)Strong knowledge of UAE KSA RSA and USA corporate laws and business regulationsExperience in corporate structuring contract negotiation and litigationExcellent legal drafting and advisory skillsStrong interpersonal and negotiation abilitiesFluency in English (Arabic is a plus)Ability to manage multiple stakeholders and work under pressure#J-18808-Ljbffr
