Legal and Compliance Counsel

We are looking for a highly skilled Transactional Lawyer to join a dynamic and fast-paced organization in the UAE. This role is ideal for a legal professional with strong expertise in corporate transactions, contract negotiation, and compliance, who is keen to work on high-value and complex deals.Key Responsibilities:Draft, review, and negotiate complex transactional documents, including joint venture agreements, shareholder agreements, and commercial contracts.Provide strategic legal advice on corporate and commercial transactions while mitigating legal risks.Support M&A activities, corporate structuring, and business expansion initiatives.Ensure compliance with UAE laws and international best practices.Develop and implement compliance frameworks (Whistleblowing, Code of Conduct, Conflict of Interest, etc.).Collaborate with internal stakeholders and external counsel to drive successful deal execution.Conduct legal research and support policy development and governance initiatives.Requirements:8+ years of legal experience, with minimum 5 years in the UAE.Common law qualification / Western education is mandatory.Strong background in corporate law, commercial contracts, and transactional work.Experience with top-tier law firms or reputable in-house environments preferred.Fluent in English (native or equivalent); Arabic is a strong advantage.Proven expertise in drafting and negotiating high-value agreements.Key Skills:Strong analytical and problem-solving ability.Ability to manage multiple high-priority transactions in a fast-paced environment.Excellent stakeholder management and communication skills.#J-18808-Ljbffr
